Job Title: Legal Manager / Company Secretary
Locations: Ikeja & Victoria Island, Lagos
Job Summary
The Legal Manager / Company Secretary is responsible for ensuring the organisation's compliance with all legal and regulatory requirements while serving as the primary advisor to the board and senior management on legal and corporate governance matters.
The role combines legal expertise, leadership, and strategic planning to effectively manage the organisation’s legal affairs and compliance framework.
Specific Responsibilities
Corporate Governance and Secretarial Functions:
Organise and manage board, committee, and general meetings (AGMs/EGMs), including preparing notices, agendas, resolutions, and minutes.
Ensure the company complies with all corporate governance principles, codes, and practices.
Maintain statutory registers such as the Register of Members, Charges, and Directors.
Provide strategic advice to the board and committees on governance best practices.
Legal and Regulatory Compliance:
Monitor compliance with corporate laws (e.g., Companies Act, SEBI regulations, listing obligations).
File annual returns, financial disclosures, and other statutory forms within prescribed deadlines.
Keep the organisation updated on changes in relevant laws and regulations.
Ensure compliance with industry-specific laws (e.g. Aviation, Travels, labour, tax).
Contract and Agreement Management:
Draft, review, and negotiate commercial contracts, agreements, and memorandums of understanding (MoUs).
Standardise templates for frequently used contracts.
Ensure all agreements are aligned with company policies and risk management guidelines.
Litigation Management:
Manage and oversee all ongoing litigation cases and disputes.
Coordinate with external counsel for representation in courts and tribunals.
Develop strategies to handle legal disputes and reduce exposure to legal risks.
Provide data-driven reports to enable decision-making and continuous optimization of marketing strategies.
Risk Management:
Conduct internal audits and compliance reviews to identify potential legal vulnerabilities andpropose mitigation strategies.
Maintain a risk register and develop action plans for high-risk areas.
Intellectual Property (IP) Management:
Manage the company’s trademarks, copyrights, patents, and trade secrets.
Ensure timely renewal and protection of intellectual property rights.
Policies and Procedures:
Draft and update internal policies, including those related to anti-bribery, anti-money laundering, and the code of conduct.
Conduct employee training programs on compliance and legal topics.
Strategic Advisory:
Provide proactive legal advice to senior management on business decisions and strategic initiatives.
Act as a legal representative in mergers, acquisitions, and joint ventures.
Contribute to the company’s strategic growth by advising on regulatory and legal implications.
Team and Resource Management:
Lead and mentor the legal and secretarial team.
Monitor team performance and encourage skill development.
Manage relationships with external legal counsel and service providers.
Reporting and Documentation:
Prepare reports for the board and shareholders on legal and compliance matters.
Maintain accurate and up-to-date records of corporate, legal, and regulatory activities.
Qualifications and Requirements
Bachelor’s Degree in Law (LLB) and Barrister at Law (B.L) is mandatory.
Must be a member ofrecognised legal or governance professional body (ICSAN)
Master’s degree in Law, Business Administration, or a related field is an added advantage
Minimum of 8 years of legal and corporate governance experience, with at least 5years in a managerial or leadership role
Proven track record in managing board meetings, regulatory compliance, and corporate governance practices.
Experience working within the travel, hospitality, or e-commerce industry.
Experience in managing litigation, contracts drafting, and intellectual property.
In-depth knowledge of corporate laws, regulatory requirements, and best practices.
Strong negotiation and leadership skills.
Proficiency in legal research and analysis.
Familiarity with compliance frameworks and risk management strategies.
Excellent communication and presentation skills, especially in advising senior management and the board.
Strong team-building and mentorship capabilities.
Strategic thinking with a problem-solving mindset.
