Job Title: Governance Officer

Job Description
To support the planning, arranging and monitoring of Council committees and take accurate records and minutes of Council committees when required.
To support the development and maintenance of a governance cycle of business and forward plan, which includes an annual calendar of meetings that discharge all strategic and operational requirements in a timely and appropriate way.
Prepare and collate committee agendas and papers, distributing agendas, minutes, meeting papers and other relevant documentation.
Manage the repository of committee papers, agendas and filing structures.
Assist with administrative requirements associated with the appointment and resignation of Governors including statutory registers, files and monitoring terms of office.
Administer the tracking and transfer of share ownership, including liaison with shareholders and legal advisors.
Administer committee membership to help ensure diversity and appropriate representation, as well as compliance with statutes, articles and regulations.
Support the maintenance of the Register of Interests of Council members and relevant staff.
Work with senior colleagues and the appointed auditors to support the administration of the internal audit program , including the monitoring of recommended actions.
Develop and maintain an internal policy repository, with records of policy owners, version control, review dates etc.
Maintain an awareness of changes in relevant legislation and the regulatory environment that may impact upon your responsibilities.
Qualifications
A high-performing governance professional who is either fully or part qualified with the Chartered Governance Institute (CGI – formerly ICSA) or having equivalent experience, with a proven track record of providing high- quality governance and business management support to Boards and Committees.
You will be able to quickly build effective relationships to work confidently with, and provide trusted and reliable advice and support to, key stakeholders including Board and Committee members and the Executive Leadership Team.
You will understand the needs of the business and have strong communication skills with a ‘can do’ attitude and appetite for solving problems.
You will be able to work to tight deadlines, deal with the unexpected and have excellent attention to detail.
Experience, knowledge and Qualifications in the related area:
To be successful in this role we believe you need to hold the following qualifications:
Chartered Governance Institute qualified or part qualified or with equivalent demonstrable experience working in a governance role in a comparable organization.
Know about and understand (Essential):

Subsidiary governance and corporate filings (Desirable).
