Job Summary
The firm is seeking a dedicated and driven manager with appropriate experience to lead and drive all legal and compliance functions of the Group; and to oversee company secretarial functions. Other preferences may be considered depending on skill set and the needs of the firm.
Job Description
Head of Legal & Company Secretary who reports to the Chief Executive Officer (“CEO”), and is responsible for:
managing records of contracts & other legal documents deposited with the legal team for safekeeping
providing legal advice and guidance in all matters concerning the laws and regulations governing the Group, its staff, legal structures, the conduct of its operations and transactions conducted by departments
coordinating and providing oversight over the Group’s subsidiaries/affiliates outside Nigeria and working with external administrators and counsel, where necessary
Preparing and reviewing contracts required for the running of the operations of the Group
When necessary, overseeing the defense and settlement of disputes and litigation involving the Group and liaising with external lawyers as required
Conducting legal research prior to effecting corporate changes
Organising, preparing agendas for, and taking minutes of Board Meetings, Board Committee Meetings and General Meetings
Maintaining statutory books, including registers of members, directors and secretaries and ensuring that corporate regulatory filings are up to date
Researching documents and case history to ensure the accuracy of legal advice and procedures
Keeping up to date with changes and developments in the law by reading journals and attending relevant programmes
Ensuring that the Group complies with its Memorandum and Articles of Association, applicable corporate governance policies and obligations under agreements to which any Group company is a party
Providing adequate guidance to the board on their responsibilities and ensuring compliance with all relevant laws and regulations
Monitoring changes in relevant legislation and the regulatory environment, and advising management on appropriate action
Liaising with relevant government and regulatory authorities, where required
Participating in disciplinary committee meetings and providing legal counsel on approach and recommendations
Providing legal counsel to the respective departments within the Group and reviewing all presented documents that have legal implications prior to signing by any company representative
Proposing and/or implementing innovative ideas to enhance business results in the firm
Acting as a leader and mentor to junior employees in the firm
Carrying out such other related tasks as may be assigned by the CEO
Candidate Profile
Minimum Second-Class Upper Degree from a top tier University, and from Law School
2-5 years’ experience post NYSC
Possible Previous Roles: Associate in a Tier 2 Law Firm or Senior Legal Officer in a reputable company
