Role Overview

Job Description
Manage governance related matters, including board meetings, resolutions, and shareholder communications.
Ensure compliance with corporate laws and regulations, including filing annual returns, maintaining statutory records, and conducting board and shareholder meetings for operating companies and the parent company.
Advise on regulatory developments and their impact on the company's business.
Manage investor and stakeholder reporting relating to ESG matters and other periodic disclosures.
Manage stakeholder relationships and address legal inquiries.
Evaluate new business partnerships with vendors and stakeholders (internal & external.
Design and oversee the company’s policy and position on legal matters.
Protect the company against legal risks and violations
Guide management Ensure compliance with the internal controls, statutory regulations and other formalities
Manage the company's intellectual property portfolio, including patents, trademarks, and copyrights and advise on IP strategy and protection.
Draft, review, and negotiate a wide range of commercial contracts, including vendor agreements, partnership agreements, and service contracts.
Ensure that contracts align with the company's business objectives and mitigate legal risks.
Manage and resolve legal disputes, including litigation and arbitration.
Review and respond to claims and demands, and engage internally to resolve complaints
Develop and implement strategies to minimize legal risks and liabilities.
Monitor and ensure compliance with relevant laws and regulations, including data privacy, consumer protection, and antitrust laws on regulatory and compliance issues to ensure compliance with legal regulations
Examine the legal issues related to new products and services
Respond, handle and manage other related task as assigned by your Line Manager or Management
Location and Travel:
The candidate will be based in Africa.
The role would require frequent travel to operating countries.
Requirements
Candidates should possess a Bachelor's degree in Law
5 - 8 years corporate legal experience
Licensed to practice law in Nigeria
Excellent communication skills, both verbally and in writing
Highly analytical with strong attention to detail
Company secretarial and governance experience
High levels of energy and drive, willingness to work hard
Excellent communication and interpersonal skills
Knowledge of ESG principles and reporting standards
Strong planning, coordination and organizational skills
Outstanding research and analytical abilities
Global leader and thinker with the ability to make quick strategic decisions
Highly energetic, self-motivated & proactive
