Job Title: Legal / Compliance Officer

Job Summary
We are seeking a highly skilled and detail-oriented Legal / Compliance Officer who will be responsible for ensuring the company operates within the legal and regulatory framework, overseeing compliance activities, and managing Corporate Affairs Commission (CAC) processes, including business incorporation, filing annual returns, and other statutory obligations.
The ideal candidate will also provide legal advice and manage legal risks associated with business operations.
Key Responsibilities
Legal Advisory:
Provide legal support and advice to management and departments on a wide range of legal matters.
Draft, review, and negotiate contracts, agreements, and other legal documents to ensure the company’s legal rights are protected.
Keep up-to-date with changes in laws and regulations and ensure the company’s compliance.
Service Level Agreements (SLAs):
Draft, review, and negotiate Service Level Agreements (SLAs) with vendors, service providers, and partners to ensure that terms align with company objectives and legal requirements.
Ensure that SLAs clearly define performance expectations, penalties for non-performance, and dispute resolution mechanisms.
Regularly review and update SLAs to reflect changes in business needs, regulatory requirements, or legal standards.
Collaborate with internal teams to ensure SLA terms are achievable and comply with operational capabilities and legal standards.
Regulatory Compliance:
Develop, implement, and monitor the company’s compliance policies and procedures to ensure adherence to regulatory standards.
Conduct periodic compliance audits and reviews to ensure operational compliance with local laws and regulations.
Advise management on the impact of new laws, regulations, and corporate governance standards.
CAC Filings & Processes:
Handle all processes related to the Corporate Affairs Commission (CAC), including business incorporation, name reservations, amendments to corporate documents, and filing of annual returns.
Ensure that all statutory requirements are met, and filings are done within stipulated deadlines.
Maintain a register of all company filings and statutory records.
Corporate Governance:
Oversee the corporate governance framework, ensuring the company complies with legal obligations such as shareholder agreements and board resolutions.
Prepare and maintain minutes of board meetings and resolutions.
Risk Management:
Identify legal risks to the business and develop strategies to mitigate them.
Manage legal disputes, including liaising with external legal counsel when necessary.
Liaison & Representation:
Represent the company in dealings with regulatory bodies, government agencies, and external legal advisors.
Act as a point of contact for external legal counsel and oversee litigation processes if required.
Training & Awareness:
Conduct training sessions to educate employees on compliance-related matters, legal risks, and obligations.
Promote awareness of relevant legal and regulatory frameworks across the organization.
Requirements
Education: Bachelor’s Degree in Law (LLB); a Master’s Degree or certification in Corporate Law, Business Law, or Compliance will be an advantage.
License: Must be a member of the Nigerian Bar Association (NBA) and in good standing.
Experience: Minimum of 3 years of experience in a legal or compliance role, preferably within the financial or corporate sector.
Proven experience with Corporate Affairs Commission (CAC) procedures, business incorporation, and regulatory filings.
Strong understanding of Nigerian corporate, financial, and regulatory laws.
Experience in drafting, reviewing, and negotiating legal documents and contracts.
Ability to identify potential compliance issues and provide strategic solutions.
