The Metropolitan Law Firm is a multi-specialist law firm that provides corporate legal services and consultancy. Established in 2006, the Metropolitan law Firm provides legal services to the business sector of the Economy with the strength of the Firm being the profound understanding of the investment environment of the capital market and business laws in Nigeria.

We are recruiting to fill the position below:

Job Title: Associate

Location: Abuja
Job Type: Full-Time

Key Responsibilities

  • Ensure compliance with statutory and regulatory requirements, including timely filing of necessary documents.
  • Advise the board on corporate governance best practices, managing conflicts of interest, and adhering to good governance principles.
  • Organize and prepare for board and shareholder meetings, including issuing notices, preparing agendas, and recording minutes.
  • Maintain and update statutory registers and records, ensuring accuracy and up-to-date information.
  • Prepare and file annual returns and financial statements, and ensure timely renewal of business licenses.
  • Draft, manage, and maintain important corporate documents, including articles of association and shareholder agreements.
  • Assist in company formation and structuring, advising on the appropriate corporate setup.
  • Act as a liaison between the company and regulatory bodies, handling inquiries and ensuring compliance.
  • Manage processes related to changes in corporate structure, ensuring proper documentation and communication.
  • Identify and manage legal risks associated with corporate governance and compliance, advising on regulatory changes.
  • Facilitate effective communication between the board, management, shareholders, and other stakeholders.
  • Handle miscellaneous administrative and legal tasks as needed.

Qualifications

  • Candidates should possess an LL.B. and B.L. Degree; an LL.M. or equivalent advanced degree is an advantage.
  • Experience: 3-4 years in corporate secretarial roles within a reputable law firm or corporate legal department.
  • Skills: Strong legal research, writing, and analytical skills with effective communication abilities.
  • Competence: Proven success in managing corporate secretarial duties and providing sound legal advice.
  • Interpersonal Skills: Excellent ability to build rapport and establish trust with clients and colleagues.
  • Organization: Highly organized and detail-oriented, capable of managing multiple tasks in a fast-paced environment.
