Job Title: Senior Legal Affairs Manager

Purpose of the Job
Under the general direction of the Company Secretary/Legal Director:
To ensure that within the span of responsibilities of the Senior Legal Affairs Manager, the organization’s legal matters are efficiently and effectively managed and that the relevant and respective internal stakeholders are given proper legal guidance on all matters affecting the Company thereby avoiding/reducing the risk of potential liability and/or disruption to the Company’s operations.
To maintain and protect the Company’s real and intellectual property interests.
To render general and specialist services on corporate matters within the span of the Senior Legal Affairs Manager’s responsibilities.
Organisation
The Company Secretary/Legal Director reports hierarchically and operationally to the Managing Director/CEO
The Senior Legal Affairs Manager reports hierarchically to the Company Secretary/Legal Director.
The Contract and Litigation Manager reports to the Senior Legal Affairs Manager.

Annual General Meetings (AGM) and other General Meetings of the Company
Departmental Budget
Other Accountabilities:
Maintaining a liaison with the Company’s external registrars in dealing with shareholders’ enquiries and requests including transmission of shares, transfer of shares, dividend payments, update of personal information etc.
Supporting the Company Secretary/ Legal Director in the organisation and administration of the meetings of the Statutory Audit Committee of the Company and other Board Committee meetings as the Company Secretary/Legal Director may direct.
Assisting the Company Secretary/Legal Director to scrutinise and apply the Company Seal on relevant documents including agreements and Share Certificates.
Generally acts in the absence of the Company Secretary/Legal Director to carry out such legal and administrative functions or duties specifically assigned by the Company Secretary/Legal Director for and on his behalf.
Minimum Requirements
Education:
LL.B (Hons.) from a recognised university with a minimum of Second Class (Upper Division).
BL: Certificate of Call to the Nigerian Bar.
LLM and/or ICSA and any other related vocational qualification would be an added advantage.
Experience:
Minimum of 10 years post-call to Bar experience in a law firm or legal department of a reputable organisation or combination of both.
Extensive experience in litigation, legal drafting, real and intellectual property practice.
Knowledge:
Legal Research
Corporate/Commercial law and practice
Legal Drafting and Interpretation
Good handling of basic Microsoft Office tools
Languages: Fluent English, needed for interaction (reading, written, spoken).
