The Microfinance Agricultural Learning and Development Centre (MLDC) is a not-for-profit organisation and one of the Nigerian Microfinance Platform (NMP) initiatives. MLDC was conceived as a sustainable process of capacity building for the microfinance & agricultural sub-sector that operates on two important considerations: relevant, world-class curriculum and affordability. MLDC is envisioned to be a resource centre for all microfinance & agricultural institutions and their stakeholders in Nigeria and beyond.
We are recruiting to fill the position below:
Job Title: Company Secretary & Compliance Officer
Location: Ikeja, Lagos
Employment Type: Full-time
Primary Responsibilities
Organize and service meetings (producing agendas and taking minutes) for the Board of Directors and relevant Board Committees.
Maintain statutory regulatory records and documents for the company like MOUs, Agreements, Contracts and other confidential documents as may be advised.
Coordinate Board Secretariat and provide support to committees on their meetings and functions.
Develop a timely and robust system of communicating Board decisions to employees and other stakeholders as appropriate.
Manage the database and all minutes, records and other important information on behalf of the company and the Board.
Coordinate travel arrangements for mmanagement and members of the board when required.
Manage the budget for board expenses in consonance with finance and Admin.
Review Company governance framework against global best practices.
Advise Management and the Board on suggested changes to the governance framework and ensure the framework and supporting policies and procedures are well documented and up to date.
Assist the Board Chair to enhance board evaluations, induction and development processes.
Uphold the legal requirements of governing documents as it relates to company law (where relevant).
Develop and implement statutory policies and procedures to ensure that the company comply with all relevant laws and regulations.
Ensure that the company consistently achieves high levels of compliance with all relevant laws and regulations as well as industry best practices.
Act as an independent review and evaluation body that ensures compliance issues/concerns within the organisation are being appropriately evaluated, investigated and resolved.
Develop an annual compliance work plan amongst other goals, review the compliance of the company with regards to its core values, strategy, and legal framework, and identify potential areas of compliance vulnerability and risk.
Minimum Requirements
A First Degree in Law / Psychology is essential.
LLM / MBA or relevant professional qualification(s) (ICSA) will be an advantage
Experience and Added Advantage:
Minimum of seven (7) years cognate experience with at least three (3) years experience in a Management related role.
Must have a strong working knowledge of management strategies, and project management, and possesses great stakeholder relations skills.
Skills and Competences:
Able to work independently
Able to multitask and keep calm under pressure.
Must be able to build strong partnerships with relevant stakeholders.
A visionary with a deep knowledge of what is required to coordinate board functions.
Strong time management skills, with the ability to handle multiple priorities and meet deadlines.
Excellent attention to detail and accuracy, whilst maintaining appropriate levels of productivity
Secretarial and office management competences.
Accountability and drive for results.
Salary
N510,073.21 monthly (gross) Plus HMO.
