Job Description
The Head of Investor Relations (IR) is a strategic function of corporate management. The Head of IR is responsible for the provision of oversight and management of all investor-facing and market engagement activities.
Combining the disciplines of finance and communication, the successful candidate will provide the investment community with an accurate portrayal of the company’s performance and prospects.
This includes interaction with “sell-side” equity analysts and targeted investors and “buy-side” key decision makers including activist investors and portfolio managers from investment funds. Preserving and enhancing the company’s credibility while positively affecting the company’s value relative to that of the overall market is a key facet of this role.
In the event that the Company issues a bond, the Head of IR will similarly manage debt IR activities alongside equity.
Key Duties and Responsibilities
Investment community engagement and communication:
Key point of contact with the investment community with the role of communicating and educating, interested parties regarding the investment attributes of the company.
Establish and maintain strong relationships with analysts, investors and prospective investors. This includes timely, consistent communications through telephone and personal contacts, group meetings, written materials and making presentations at one-on-one investor and analyst meetings and investment conferences.
Develop and maintain proactive, timely and consistent communication with the financial community through regular phone calls, one-on-one investor and analyst visits, investor conferences and analyst workshops.
Develop and manage investor outreach and targeting, such as investor road shows.
Monitoring the company’s institutional ownership, trading trends and optimizing investors targeting. Staying apprised of market opinions, attitudes and reactions to company issues.
Buy side – as an established figurehead in the marketplace develop strong and lasting relationships with institutional investors (both current shareholders and potential shareholders) and deepen the level of understanding of company's investment proposition, providing the necessary information and strategic overlay for investors to take a view on the intrinsic value of the business and in turn generate demand for company's shares and allow for informed investment decisions.
Sell-side coverage - develop and maintain strong relationships with sell side analysts that provide research coverage of company's shares both internationally and locally.
Provide guidance and advise on modelling and valuation issues to ensure that published models give a fair and representative analysis and valuation of the Company for analysts to base an independent recommendation around.
Ensure that questions and requests are handled in a timely fashion and that information provided is consistent, validated and only that in the public domain. Provide clarity and context on often complicated operational and financial aspects that may be critical to analysing the fundamental performance of the underlying business.
Corporate Access - oversee the arrangement and implementation of investor meetings / non-deal roadshows / site visits / investor events for the Company, either directly or in liaison with external brokers.
Facilitate and ensure appropriate levels of access to and interaction with executive management (CEO, CFO) and where requested other members of the board (i.e. senior INED, Chairman). Ensure that corporate access channels are providing Dangote Cement with access to the right institutional investors globally through a proactive strategy. Attend investor meeting with or in place of management.
Earnings Process:
Responsible for overseeing and managing quarterly earnings and conference calls
Lead the quarterly earnings process, collaborating with Legal, Finance, Corporate Communications and business units. This includes writing of earnings release and earnings call presentations, as well as preparation of Senior Management for investor Q&A.
Prepare key investment messages and communicate financial performance, business conditions, company strategies, developments and growth fundamentals to sell-side analysts and investors.
Annual Report:
Coordinate the preparation of the company’s Annual & Regulatory Reporting
Draft all Company announcements (news flow) and work closely with the CFO to define key messaging for optimal market impact.
In terms of financial reporting, ensure that Dangote Cement achieves high standard output and draft significant sections of the Interim and Annual Reports.
In particular, oversee project management of the Annual Report and guide and oversee contribution to the Strategic Report section from various departments providing critical direction and input.
Ensure clear articulation of Dangote Cement’s performance and investment proposition.
Monitor trends and developments in international markets and DCP’s peer group annual report formats
Shareholder register analysis:
oversee the timely delivery of and quality control of regular shareholder register analyses for the NSE listing, assuming such register analysis is provided by an external party.
Analyse results and periodically communicate trends in shareholder ownership internally. Incorporate results of the register analysis into the forward market engagement strategy.
Other duties as may be required by the business.
Key Requirements
Bachelor's Degree or its equivalent in relevant discipline.
Masters Degree in Business, Finance or Accounting. MBA or CFA a plus
Minimum 10 years of professional experience, preferably in investment banking, equity research, business development, strategy and/or consulting with a focus on the Cement sector and emerging / Frontier markets. Prior experience in Equity Capital Market or Research Department of top-tier investment bank, or as Head of Investor Relations in publicly traded company on a major stock exchange.
Experience and advanced understanding of US, UK, European laws and securities disclosure requirements, as well as filing requirements. Experience with Nigeria laws and securities disclosure requirements would be a plus.
Experience with IPO process on a major international exchange will be a plus.
Skills and Competencies:
Exceptional verbal and written communication skills to communicate complex frameworks and strategies simply and effectively to a variety of audiences.
Superior financial and investment analysis capabilities, including clear and thorough understanding of financial modeling and valuation techniques used by financial and investment professionals.
Strong understanding of Corporate social Responsibility and Environmental, social and Governance reporting trends and requirements.
Ability to function as an industry expert, constantly gathering and disseminating industry knowledge in order to develop new investor relations programs and initiatives that will promote the company’s leadership in the industry.
Deep knowledge and understanding of the capital markets and emerging / frontier markets investment community.
Thorough understanding of key metrics for Cement, Construction material and/or FMCG companies.
Strong interpersonal and networking skills, including the ability to develop and maintain relationships across a global organization.
Strong organizational skills, detail-oriented, with a high degree of project management skills, professionalism, integrity, diplomacy and discretion.
Strong strategic and critical thinking skills; demonstrated ability to exercise good judgment
Demonstrated ability to establish and maintain credibility with both external partners and internal stakeholders at all levels of the company
Must be able to perform in a high pressure environment, and be able to meet tight deadlines
Ability to be self-supporting
